Instructions

1 、本合同文本為示范文本，由北京市建設委員會(huì )和北京市工商行政管理局共同制訂。

1. This contract is a model text formulated jointly by Beijing Municipal Commission of Construction and Beijing Administration for Industry and Commerce.

2 、簽訂前，出賣(mài)人應當向買(mǎi)受人出示商品房預售許可證及其他有關(guān)證書(shū)和證明文件。

2. Before execution hereof, the Vendor shall show the Purchaser the Permit for Presale of Commercial Housing and other related certificates and certifying documents.

3 、當事人應當按照自愿、公平及誠實(shí)信用的原則訂立合同，任何一方不得將自己的意志強加給另一方。雙方當事人可以對文本條款的內容進(jìn)行修改、增補或刪減。合同生效后，未被修改的文本打印文字視為雙方當事人同意內容。

3. The contracting parties shall conclude the contract on the basis of the principle of free will, fairness and good faith and honesty, and neither party may impose its will on the other party. The two parties may alter, supplement or delete contents of the articles of this contract text. After this contract comes into force, the printed contents of this text without alteration are to be deemed as stipulation made by the parties.

4 、簽訂商品房預售合同前，買(mǎi)受人應當仔細閱讀合同條款，應當特別仔細審閱其中具有選擇性、補充性、填充性、修改性的內容。

4. Before execution of the presale contract for commercial housing, the Purchaser must review the articles of the contract prudently, especially those alternative, supplementary contents and those filled or altered contents.

5 、為體現合同雙方的自愿原則，本合同文本中相關(guān)條款后留有空白行，供雙方自行約定或補充約定。出賣(mài)人與買(mǎi)受人可以針對合同中未約定或約定不詳的內容，根據所售項目的具體情況簽訂公平合理的補充協(xié)議，也可以在相關(guān)條款后的空白行中進(jìn)行補充約定。

5. To present the principle of free will of contracting parties, there are blanks following some articles of this contract text, left for supplementary stipulation made by the two parties separately. For any matters not covered or not stipulated sufficiently in this contract, the Vendor and the Purchaser may conclude supplementary agreements on a fair and reasonable basis and in light of the specific conditions of the sold housing, or make supplementary stipulations in the blanks following relevant articles.

6 、本合同文本【 】中選擇內容、空格部位填寫(xiě)及其他需要刪除或添加的內容，雙方當事人應當協(xié)商確定?！?】中選擇內容，以劃 √ 方式選定；對于實(shí)際情況未發(fā)生或雙方當事人不作約定時(shí)，應當在空格部位打 × ，以示刪除。

6. With respect to the alternative contents in [ ] and the contents to be filled in blanks in this contract text, and other contents to be deleted or supplemented, the contracting parties must make determination through negotiation. To select the items in [ ], make a √. If any content does not refer to the actual case or the parties do not make stipulation, the parties must delete such content by making a × in the blanks.

7 、雙方當事人在履行合同中發(fā)生爭議的，可以選擇向不動(dòng)產(chǎn)所在地人民法院起訴，也可以選擇向仲裁委員會(huì )申請仲裁。如選擇申請仲裁的，可以向北京仲裁委員會(huì )、中國國際經(jīng)濟貿易仲裁委員會(huì )、外地的仲裁委員會(huì )申請。

7. If any dispute arises between the two parties from the performance of this contract, they may either lodge a lawsuit to the people’s court of the place where the property is located, or apply to relevant arbitration commission for arbitration. If the parties select arbitration, they may apply to Beijing Arbitration Commission, China International Economic and Trade Arbitration Commission, or those arbitration commissions of places beyond Beijing.

8 、雙方當事人可以根據實(shí)際情況決定本合同原件的份數，并在簽訂合同時(shí)認真核對，以確保各份合同內容一致；在任何情況下，買(mǎi)受人都應當至少持有一份合同原件。

8. The contracting parties may determine the number of original copies of this contract in light of the actual conditions, and must check the copies prudently so as to ensure that the contents in every copy are identical. Under any circumstance, the Purchaser must hold at least one original copy of this contract.
