        由于英漢兩種語(yǔ)言在語(yǔ)法和表達方式等方面存在著(zhù)許多差異，因此英譯漢時(shí)常常有必要改變表達方式，使譯文通順流暢、地道可讀。詞類(lèi)轉換就是一個(gè)基本的翻譯技能，以下是法律英語(yǔ)翻譯中比較常見(jiàn)的幾種詞類(lèi)轉換情形。

　　1. The confidentiality restrictions and obligations imposed by this Section shall terminate two (2) years after the expiration or termination of this Agreement. 本條規定的保密限制和義務(wù)，在本協(xié)議期滿(mǎn)或終止后兩（2）年終止。


　　2. Unless otherwise provided for herein, failure or delay on the part of any party to exercise any right, power or privilege under this Agreement shall not operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege preclude further exercise thereof or exercise of any other right, power or privilege. 除非本協(xié)議另有規定，任何一方未能或延遲行使其在本協(xié)議下的任何權利、權力和特權，不應視為其放棄該權利、權力或特權；單項或部分行使任何權利、權利或特權，亦不妨礙其進(jìn)一步行使該項權利、權力或特權或行使其他權利、權力或特權。


　　3. The Disclosure Letter has fully and accurately disclosed all the matters which might materially and adversely affect the present or future value of the shares. 披露函充分、準確地披露了可能會(huì )對股份現在或將來(lái)的價(jià)值產(chǎn)生重大不利影響的所有事項。


　　4. Each party shall provide the same care to avoid disclosure or unauthorized use of the other Party’s Confidential Information as it provides to protect its own similar proprietary information. 各方應謹慎行事，以防披露或擅自使用另一方的機密信息，就如各方保護自己的類(lèi)似專(zhuān)有信息。
